zFolio Terms of Use

zFolio Terms of Use

Version: 1.1.0
Effective Date: October 26, 2026
App: zFolio on the web. Apps for Mac, iPhone and iPad are planned; these Terms will cover them when they are released.
Developer: Bristlecone IT Services, LLC

What changed in version 1.1.0 (effective October 26, 2026):

  • zFolio is open to new accounts. Accounts are free for now. We added terms for free accounts and for the beta, and rules for creating accounts.
  • You can connect an AI app through zFolio’s connector. Agents can only read the documents you allow. We removed the terms about agents making changes.
  • When zFolio offers image uploads, we remove the metadata from images you upload.
  • Resolving Disputes now says plainly that there is no arbitration.

These Terms of Use (“Terms”) are the agreement between you and Bristlecone IT Services, LLC, a Tennessee limited liability company (“we”, “us”), for zFolio. zFolio is part of zSuite. Please read these Terms together with the zFolio Privacy Policy.

Summary

  • zFolio is a Markdown editor that syncs your documents across your devices. We keep a copy of your documents on our servers to do that.
  • You own your documents. You give us a narrow permission to host, store, back up, copy, sync and display them.
  • zFolio does not use end-to-end encryption. Keep your own copies of what matters.
  • zFolio is in beta, and accounts are free for now. We may change or end free accounts.
  • If you connect an Agent, such as an AI assistant or a script you choose, it can read your documents as you allow. What it does with them is between you and whoever provides it.
  • When the Apple apps are released, these Terms will add to Apple’s standard Licensed Application End User License Agreement for them.
  • Disputes are resolved in the state courts in Blount County, Tennessee, or the U.S. District Court for the Eastern District of Tennessee at Knoxville, or in small claims court.

This summary is for convenience. The full Terms below control.

1. Acceptance of These Terms

You agree to these Terms when you create an account, or when you use zFolio. If you do not agree, do not use zFolio.

If you accept these Terms for a business or other organization, you confirm that you are authorized to bind it, and “you” includes that business or organization.

2. Who We Are

zFolio is provided by Bristlecone IT Services, LLC, a Tennessee limited liability company, as part of zSuite. “We”, “us” and “our” mean Bristlecone IT Services, LLC. Our mailing address is in the Contact section.

3. Apple’s Standard EULA

If you get zFolio for Mac, iPhone or iPad from the App Store, it is licensed to you under Apple’s Licensed Application End User License Agreement (the “Standard EULA”), together with these Terms. These Terms add to the Standard EULA. They do not replace it.

  • Under the Standard EULA, we, not Apple, license the app to you. These Terms are between you and us only, and not Apple. We, not Apple, are responsible for zFolio and its content, and for its support.
  • These Terms are not meant to contradict the Standard EULA. If a point in them truly conflicts with it, the Standard EULA controls for that point, and the rest of these Terms still apply.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple may enforce them against you.
  • You must also follow the terms of Apple’s services that you use with zFolio, such as the App Store.

4. Definitions

  • “zFolio” means the zFolio web app, the zFolio apps for Mac, iPhone and iPad when they are available, and our sync and storage services, in each case as we offer them from time to time.
  • “Content” means the documents, text, files, names and other material that you put into zFolio, store with it or share with it.
  • “Feedback” means bug reports, suggestions, ideas, comments and other remarks about zFolio.
  • “Agent” means an AI assistant, script or other software that you connect to your zFolio account through zFolio’s agent access feature (“agent access”), including zFolio’s connector for AI apps, so that it can read your Content for you.
  • “Third-Party Services” means apps and services operated by someone other than us, such as Apple, Cloudflare and other websites you reach through zFolio.

5. Eligibility and Accounts

zFolio is for a general audience of people 13 and older. It is not directed at children under 13. You must be at least 13 years old, or older if your local law requires, to use zFolio. If you are under the age of majority where you live, you may use zFolio only with the involvement and consent of a parent or legal guardian, who agrees to these Terms for you.

  • Your account. Keep your passkeys, and access to the email address you sign in with, secure. You are responsible for activity under your account. If you believe someone used your account without permission, tell us by mail.
  • One person per account. An account is for one person. Do not share it, or sell or rent access to it. You may create more than one account, each with its own email address.
  • Devices. An account can have up to 10 active devices. A device is active if it has been used in the last 30 days. You may not get around this limit.
  • Creating accounts. Create an account only for yourself. Do not create accounts in bulk or with automated tools, or to get around a limit, a suspension or a closure. If we closed an account of yours for breaking these Terms, do not create another without our written permission.
  • Accurate information. Give accurate information when you create an account, including an email address where you can get our codes, and keep it up to date.
  • Suspension. We may suspend or close an account that is used unlawfully, abused, or used in a way that harms zFolio or other people.

Agents

You can connect an Agent to your account. Agents are optional.

  • You approve each Agent. An Agent can reach your account only after you approve it in zFolio while signed in. You choose which documents or folders it may read. zFolio shows the name the Agent gives itself, but we do not verify it. Connect only Agents you trust. If you are under the age of majority where you live, connect an Agent only with the consent of a parent or legal guardian.
  • Connecting an AI app. You can connect an AI app that supports zFolio’s connector by adding the connector address, https://zfolio.cc/mcp, in that app and approving the app in zFolio.
  • What an Agent can do. An Agent can only list, search and read the documents you approved. It can’t change, move or delete anything in zFolio, publish your documents or make links to share them, and it can’t read anything in the trash.
  • You are responsible for your Agents. What an Agent does with the access you gave it counts as your use of zFolio, and these Terms, including Acceptable Use, apply to it.
  • What an Agent reads leaves zFolio. When an Agent reads your Content, we send that Content to it at your direction. After that, we do not control it. What the Agent, and anyone who provides it, does with your Content is between you and them, under their own terms and privacy policies.
  • How access ends. Each approval lasts for a limited time, after which you must approve the Agent again. You can revoke an Agent at any time in the app. A revoked Agent loses access from its next request, but revoking does not remove copies it already has. Asking to delete your account revokes all your Agents at once.
  • Agent access only. Agents may reach zFolio only through agent access, and only for the account that approved them. Do not use an Agent to share your account, to give other people access to zFolio, or to offer zFolio to others as a service.
  • Limits. We set limits on Agents, such as how many you can connect and how often they can make requests. Limits can change. We show current limits in the app or on our website. When an Agent reaches a limit, zFolio refuses its requests until the limit resets.
  • Our rights. We may limit, suspend or revoke an Agent’s access, or refuse to let an Agent or anyone who provides it connect, for example to protect you, zFolio or other people, or when an Agent breaks these Terms or overloads zFolio. We may change or end agent access as described in Changes, Suspension and Termination.

6. License and Our Rights

Subject to these Terms and, for the Apple apps, the Standard EULA, we give you a limited, nonexclusive, nontransferable, revocable license to use zFolio on devices that you own or control, for its intended purpose. We keep all rights in zFolio that these Terms do not give you. You may not copy, modify, reverse engineer or resell zFolio, or remove its notices, except where the law or a license for a third-party component allows.

The names zFolio and zSuite and their logos are our brand names. You may not use them in a way that suggests we sponsor or endorse you or your content.

7. Your Content

  • You own your Content. We claim no ownership of it.
  • Our license to run zFolio. You give us a limited, nonexclusive, worldwide, royalty-free license to host, store, back up, copy, sync and display your Content, to send it to the Agents you connect, and to process it as needed to operate, secure and support zFolio, as described in the Privacy Policy. This license lasts as long as we hold your Content, and it ends as described in Changes, Suspension and Termination.
  • No other use. We do not sell your Content, and we do not use it for advertising.
  • Your responsibility. You are responsible for your Content. You promise that you have the right to store and share it, and that doing so does not break the law or anyone’s rights.
  • No end-to-end encryption. Our systems can read your Content in order to sync and back it up. Do not put in zFolio anything that you cannot accept being stored this way.
  • Images you upload. When zFolio offers image uploads, we remove the metadata, such as location and camera details, from images you upload.
  • Feedback. If you send us Feedback, you grant us a nonexclusive, worldwide, royalty-free, perpetual, irrevocable license to use it to improve, develop and support zFolio and our other products. We do not have to use your Feedback or pay you for it.

8. Free Accounts, Beta and Limits

  • Free accounts. zFolio accounts are free for now. We may set, change or remove the limits and features of free accounts, and we may stop offering free accounts or end them, as described in Changes, Suspension and Termination. If we plan to end free accounts, we will try to give you reasonable advance notice so you can export your Content.
  • Beta. zFolio is in beta. It may change often, have errors, be unavailable or lose data, and we may add or remove features without notice. Keep your own copies of anything that matters. The Disclaimer of Warranties applies in full.
  • Limits. We set limits on the size and number of documents. Limits can change. When you reach a limit, zFolio tells you, or refuses the change.

9. Acceptable Use

You agree not to use zFolio for anything unlawful, deceptive or harmful. In particular, do not use zFolio to:

  • store or share material that is illegal where you live, or that infringes anyone’s copyright, trademark or other rights;
  • share material that sexually exploits or endangers a child;
  • harass, threaten or defraud anyone, or violate their privacy, including by sharing their personal information without permission;
  • impersonate a person or a business, or run phishing or other scams, including with look-alike names or domains;
  • spread malware or other harmful code, or serve content meant to attack a visitor’s device or account;
  • share material that promotes violence or hatred against people for who they are;
  • send spam, or use a page or link to drive unwanted traffic or to evade a block;
  • try to reach accounts or data that are not yours, probe, scan or test the security of zFolio without our written permission, or interfere with or overload it;
  • get around device limits, Agent limits or other limits, or share an account;
  • reach zFolio with bots, scrapers or other automated tools, except through Agents you connect as these Terms allow; or
  • copy, resell or sublicense zFolio, or reverse engineer it, except where the law allows that despite this restriction.

10. Takedowns and Repeat Infringers

Copyright. We respect copyright. If you believe that something stored or shared through zFolio infringes your copyright, send a written notice to our copyright contact, below. The notice must include:

  • your physical or electronic signature;
  • a description of the copyrighted work you say was infringed;
  • the web address of the material you say infringes, or other information that lets us find it;
  • your name, mailing address, telephone number and email address;
  • a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent or the law; and
  • a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act for the owner.

When we receive a valid notice, we may remove or disable the material and tell the person responsible for it. That person may send us a counter-notice with the details the law requires. If they do, we may restore the material as the law allows, unless the person who sent the first notice tells us they have gone to court.

Do not send a notice you know is false. The law can make you liable for damages if you knowingly misrepresent that material is infringing.

Repeat infringers. In appropriate circumstances, we close the accounts of people who are repeat infringers.

11. Your Responsibilities

  • Your devices and sign-in. Keep your devices and their software up to date and secured, for example with a passcode. Anyone who can use your signed-in device may see your Content.
  • Your copies. zFolio is not a records service. Export or keep your own copies of anything you cannot afford to lose. Our backups are for our own disaster recovery, and we do not promise they will have what you need.
  • Trash and deletion. Deleting a document moves it to the trash first. Items in the trash are deleted for good after 30 days. You can also delete items in the trash for good, or empty the trash, yourself. Deleting for good cannot be undone.
  • Local copies. Copies saved on your devices, and files you exported, are not removed when we delete something on our servers. Text you delete may also stay in a document’s local history on your device for a period, until that history is compacted.

12. Third-Party Services

zFolio works with Third-Party Services, such as Cloudflare, which runs our servers and storage and sends our email, and Apple. It also works with websites that you choose to link to or load images from, and with Agents that you connect. We do not control them. Their own terms and privacy policies govern them. We are not responsible for their content, availability or practices. Using one is your choice.

13. Privacy

The zFolio Privacy Policy, at https://bristleconeit.com/zsuite/zfolio/privacy/, explains what zFolio stores, who can see it, and how long we keep it.

14. Availability, Territories and Export

zFolio is not offered in every country or region. It is not offered in countries or regions that are subject to a U.S. embargo, and we may limit where it is available. You may not download, use or export zFolio if you are in one of those places or on a U.S. government list of restricted parties, or where the law forbids it. You agree to follow the export and sanctions laws that apply to you.

15. Changes, Suspension and Termination

We may change, suspend or discontinue zFolio, or any part of it, at any time. Updates may change how zFolio works. If we plan to discontinue all of zFolio, we will try to give you reasonable advance notice so you can export your Content.

You may stop using zFolio at any time. To close your account, choose Delete Account in Settings, or write to us at the address in the Contact section. Before you do, export anything you want to keep. If you start it in the app, we complete the deletion 7 days after your request, and we email you the date. Until then, your account works normally, including sync and signing in on a new device, and you can choose Cancel Deletion in Settings on any device. The exception is Agents: your request revokes them all at once (for a request by mail, once we process it), and canceling the deletion doesn’t restore them. You must approve each one again. After the deletion date, deletion can’t be undone. When your account is deleted, we handle your data as described in the Privacy Policy, including copies that may stay in our backups for about 30 days.

We may suspend or end your access if you break these Terms, if we are required to by law, or if we reasonably believe it is necessary to protect zFolio or other people. When it is practical, we will give you notice and a chance to export your Content first.

The sections on Your Content, Acceptable Use, Takedowns and Repeat Infringers, Your Responsibilities, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Venue, Resolving Disputes, and General Terms survive termination.

16. Disclaimer of Warranties

To the fullest extent permitted by law, zFolio is provided “as is” and “as available,” with all faults and without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment, and any warranties arising from a course of dealing or usage of trade.

We do not promise that zFolio will be uninterrupted, timely, secure, or error-free; that it will be free of viruses or other harmful components; that it will work with your devices, your Agents or the other apps and services you use; that an Agent will do what you expect; that your Content will be kept safe, private or intact; that syncing and backups will always work; or that using it will not cause loss of data. No advice or information you get from us creates any warranty that is not stated in these Terms.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

17. Limitation of Liability

To the fullest extent permitted by law, Bristlecone IT Services, LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, Content, use, or goodwill, business interruption, or cost of substitute goods or services, arising from or related to these Terms or zFolio, even if we have been advised of the possibility of those damages.

To the fullest extent permitted by law, our total liability for all claims arising from or related to these Terms or zFolio will not exceed the greater of what you paid us in the past 12 months or US $50.

These limits apply to every legal theory, whether in contract, tort (including negligence), strict liability, or otherwise, and they apply even if a limited remedy fails of its essential purpose. They also apply to Content that is lost, or that an Agent you connect reads or passes on. Nothing in these Terms limits any liability that cannot be limited under applicable law.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, or other limits on liability, so some of the above may not apply to you.

18. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Bristlecone IT Services, LLC and our representatives from any third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising from your Content, the Agents you connect and what they do, your violation of these Terms or the law, or your violation of the rights of others.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. This does not take away any protection you have under the consumer protection laws of the place where you live.

Except for claims brought in small claims court, any dispute or claim arising from or relating to these Terms, the Privacy Policy or zFolio will be brought only in the state or federal courts for Blount County, Tennessee: the state courts located in Blount County, or the United States District Court for the Eastern District of Tennessee, Northern Division, at Knoxville. Those courts have exclusive venue, and you and we consent to their personal jurisdiction.

20. Resolving Disputes

Please read this section carefully. It affects how disputes between you and us are resolved, and it limits class actions.

  • Informal resolution first. Before starting a court case, the person bringing the claim will send a written description of the dispute, with the name and mailing address of the person bringing it and the relief requested, by mail to the address in the Contact section (for claims against us), or to the contact details you have given us (for claims against you). You and we will try in good faith to resolve the dispute informally for 30 days after the notice is received.
  • No arbitration. These Terms do not require arbitration. Disputes are decided in the courts named in Governing Law and Venue, or in small claims court.
  • Small claims court. Either you or we may instead bring an individual claim in small claims court if the claim qualifies and remains there.
  • Class-action waiver. To the extent permitted by law, you and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, or representative proceeding.
  • Changes to this section. If we change this section, the change will not apply to any dispute that was pending, or of which we had notice, before the change took effect.
  • Severability of this section. If the class-action waiver is found unenforceable for any claim, it will not apply to that claim, and the rest of this section and of these Terms will continue to apply.

21. Changes to These Terms

We may update these Terms from time to time. When we do, we will publish the updated Terms at the same address, https://bristleconeit.com/zsuite/zfolio/terms/, and change the version number and the Effective Date. zFolio is in beta. While it is, a material change may take effect as soon as we publish it, and we will tell you about it in the app or on the page where these Terms are published. When zFolio leaves beta, we will say so in the app and on that page. After that, we will give at least 7 days’ notice, in the app, on that page or by email, before a material change to these Terms takes effect. We may make a change take effect sooner only if the law requires it or if it is needed to deal with an urgent security issue, and if we do, we will tell you as soon as we can. Updated Terms apply from their Effective Date and do not apply retroactively. If you keep using zFolio after an update takes effect, you accept the updated Terms.

22. General Terms

  • Entire agreement. These Terms, together with the Privacy Policy and, for the Apple apps, the Standard EULA, are the entire agreement between you and us about zFolio and replace any earlier agreements or understandings about it.
  • Severability. If any provision of these Terms is found unenforceable, that provision will be enforced to the fullest extent permitted, and the rest of these Terms will remain in effect.
  • No waiver. Our failure or delay in enforcing any provision of these Terms is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign or transfer these Terms, in whole or in part, without your consent, including to any business entity formed to carry on the zSuite business or to any successor in a merger, reorganization, or sale of assets.
  • Notices. We may give you notice by email to the address on your account, in the app, at the address where these Terms are published, or by mail. Notice by email is given when we send it. You may give us notice by mail to the address in the Contact section.
  • Events beyond our control. We are not responsible for any delay or failure caused by events beyond our reasonable control, such as failures of Third-Party Services.
  • No third-party beneficiaries. These Terms do not give any rights to anyone other than you and us, except that Apple and its subsidiaries are third-party beneficiaries of these Terms, as described under Apple’s Standard EULA.
  • Relationship. These Terms do not create any partnership, joint venture, employment, or fiduciary relationship.
  • Interpretation. Headings are for convenience only. “Including” means “including without limitation.” If these Terms are translated, the English version controls.
